These Terms of Service (“Terms”) govern your access to and use of Nearbit. Nearbit is a personalised recommendation and discovery platform for activities, events, places, and cultural experiences. Please read these Terms carefully before using the service.
1. About Nearbit
Nearbit (“we”, “our”, or “us”) provides personalised local activity recommendations through our website, newsletters, APIs, widgets, and related services (together, the “Service”).
Nearbit is an advisory and discovery platform. We are not an activity provider, event organiser, travel agent, ticket seller, venue operator, or reseller of third-party experiences. Our role is comparable to a travel guide, map, review site, or discovery service: we help you find options, while verification, booking, purchase, attendance, and participation remain your responsibility and, where applicable, the responsibility of the relevant third-party provider.
2. Advisory Service Only
Recommendations shown by Nearbit are provided for informational and discovery purposes only. They do not constitute a guarantee that an activity, event, venue, or experience will be available, accurate, safe, suitable, accessible, lawful, or of any particular quality.
Nearbit is not a party to any contract, booking, ticket purchase, reservation, or other transaction between you and a third-party activity provider, venue, organiser, ticketing platform, marketplace, or partner. If you choose to attend, book, purchase, or otherwise rely on a recommended activity, your relationship is with that third party and may be governed by their own terms, policies, and refund rules.
You are solely responsible for checking all relevant information before relying on a recommendation, including opening hours, dates, prices, age restrictions, accessibility, location, cancellation terms, availability, safety requirements, and any rules set by a third-party provider.
3. Third-Party Information and Accuracy
The Service may display information, listings, reviews, descriptions, prices, images, opening times, locations, availability signals, and other content supplied by third parties or derived from third-party sources. That information may be incomplete, inaccurate, delayed, unavailable, or out of date.
We use reasonable efforts to maintain useful and accurate recommendations, but we do not warrant or guarantee that the Service or any recommendation will be error-free, current, complete, or suitable for your needs. Any decision you make based on Nearbit recommendations is made at your own discretion and risk.
4. Accounts, Subscriptions, and Payments
Some parts of the Service may require you to provide contact details, create an account, subscribe to a plan, or purchase access to a Nearbit feature. You agree to provide accurate information and keep it up to date.
Nearbit may charge fees for access to its own Service, such as premium recommendations, newsletters, API access, or partner features. Nearbit does not sell the underlying activities, events, tickets, reservations, or experiences recommended by the Service. As a result, Nearbit does not provide refunds, credits, or compensation for third-party activity cancellations, unavailable events, changed prices, rejected bookings, venue issues, or dissatisfaction with a recommended third-party activity.
5. Acceptable Use
You agree not to use the Service to:
- break applicable laws or infringe another person's rights;
- copy, scrape, resell, or bulk-export recommendations except as expressly permitted;
- interfere with the security, availability, or integrity of the Service;
- misrepresent Nearbit recommendations as guarantees, bookings, tickets, or official provider approvals;
- use the Service in a way that could harm Nearbit, users, partners, or third-party providers.
6. API & Partner Use
If you access or integrate the Nearbit API, widget, feed, or other partner tools, you must present Nearbit recommendations accurately and must display a clear Nearbit advisory disclaimer to your end users, explaining that recommendations are informational only and should be verified with the relevant third-party provider before booking, purchase, or attendance.
The limitations, exclusions, warranty disclaimers, and indemnity obligations in these Terms apply with the same force to B2B partner relationships, to the fullest extent permitted by applicable law. Nearbit is not responsible for partner websites, apps, integrations, user interfaces, ranking choices, copy, claims, or any way in which a partner presents, filters, modifies, combines, or distributes Nearbit recommendations.
7. Third-Party Content and Services
The Service may include content, links, offers, availability information, event details, venue information, reviews, maps, images, or other materials from third parties. Nearbit does not control and is not responsible for third-party content, websites, services, providers, policies, fulfilment, safety practices, accessibility practices, or customer support.
Your use of third-party services is at your own discretion and may be subject to the third party's own terms and policies. We encourage you to review those terms before making a booking, purchase, or attendance decision.
8. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Service and all recommendations, content, data, and features are provided on an “as is” and “as available” basis. Nearbit disclaims all warranties, conditions, and representations, whether express, implied, statutory, or otherwise, including implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, availability, accuracy, quiet enjoyment, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free from harmful components, or that recommendations will meet your expectations or produce any particular outcome.
9. Limitation of Liability
Nothing in these Terms limits or excludes liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, or any consumer rights that cannot be excluded or limited under applicable law.
Subject to the paragraph above and to the fullest extent permitted by applicable law, Nearbit will not be liable for any errors, omissions, inaccuracies, delays, or unavailability in recommendations; unavailable, cancelled, changed, unsuitable, unsafe, inaccessible, or unsatisfactory third-party activities; losses or injuries connected with attendance at or participation in a recommended activity; or decisions made in reliance on recommendations or third-party content.
To the fullest extent permitted by applicable law, Nearbit will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, data, or anticipated savings, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, Nearbit's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amounts actually paid by you to Nearbit for the Service during the twelve (12) months before the event giving rise to the claim. If you have not paid Nearbit for the Service during that period, Nearbit's aggregate liability will be limited to the minimum amount permitted by applicable law.
10. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Nearbit and its officers, directors, employees, contractors, service providers, and partners from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or related to your use of the Service, your breach of these Terms, your integration or presentation of Nearbit recommendations, or your booking, purchase, attendance, or participation in any activity, event, venue, or experience recommended through the Service.
11. Changes to the Service
Nearbit may modify, suspend, restrict, replace, or discontinue any part of the Service at any time, with or without notice and without compensation, to the fullest extent permitted by applicable law. This includes changing recommendation logic, supported cities, partner integrations, pricing, features, content sources, APIs, and availability.

13. Consumer and Regional Rights
These Terms are intended to apply internationally, including to users and partners in the United Kingdom, European Union, United States, and California. If applicable law gives you mandatory rights or remedies that cannot be waived, limited, or excluded, those rights and remedies continue to apply.
For consumers in the UK or EU, these Terms do not exclude or restrict non-excludable rights under applicable consumer protection laws, including protections relating to unfair contract terms. Each limitation and exclusion in these Terms applies only to the fullest extent permitted by applicable law.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above. Your continued use of the Service after the updated Terms take effect means you accept the updated Terms, to the extent permitted by applicable law.
